1. Acceptance of Terms

By accessing or using the AI Operating System, platform, websites, and related services (collectively, the "Services") provided by Schools Geek Technologies ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you are using the Services on behalf of an educational institution ("School"), you represent that you have the authority to bind that School to these Terms.

2. Our Services

We provide a comprehensive AI and automation operating system for Schools. In providing these Services, we act as a **Data Processor** on behalf of the School, which is the **Data Fiduciary**. Our responsibilities regarding the processing of personal data are detailed in our Privacy Policy and the master service agreement (MSA) with the School.

3. School's Responsibilities

The School agrees to:

• Be solely responsible for the accuracy, quality, and legality of all data provided to us ("School Data").
• Obtain all necessary consents from students, parents, and staff (Data Principals) as required by Indian law (including the DPDPA, 2023) to allow us to process their data.
• Manage and protect all user accounts and passwords for its authorized users.
• Comply with all applicable laws and regulations in its use of the Services.

4. Acceptable Use Policy

You agree not to use the Services to:

• Upload or transmit any data that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
• Violate the privacy or data protection rights of any individual.
• Attempt to gain unauthorized access to our systems, or engage in any activity that disrupts or interferes with our Services.
• Reverse engineer, decompile, or disassemble any component of the Services.

5. Intellectual Property

We own all right, title, and interest in and to the Services, including all software, platforms, AI models, and documentation. We grant the School a limited, non-exclusive, non-transferable right to access and use the Services during the term of their agreement with us. The School retains all ownership rights to its School Data.

6. Fees and Payment

The fees for our Services will be as set forth in the master service agreement (MSA) or order form executed between Schools Geek Technologies and the School. All fees are non-refundable except as expressly stated in the MSA.

7. Term and Termination

These Terms remain in effect for the duration of your subscription or use of the Services. We may suspend or terminate access to the Services if the School is in breach of these Terms or the MSA. Upon termination, our obligations regarding data handling and deletion are governed by our Privacy Policy and the MSA.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. While we strive for high uptime and security (as mentioned in our service commitments), we cannot guarantee it.

9. Limitation of Liability

To the maximum extent permitted by law, Schools Geek Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in **[Insert City, e.g., New Delhi]**, India.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify Schools of any material changes. By continuing to use the Services after changes become effective, you agree to be bound by the revised Terms.
